Reparation
You consent to indemnify, protect, and keep www.promodrive.in, along with its affiliates, contractors, employees, officers, directors, agents, and third-party suppliers, licensors, and partners, free from any and all claims, losses, damages, liabilities, costs, and expenses, which include, but are not limited to, legal fees and expenses. The arbitration proceedings will take place in our district in India, and any judgment resulting from the arbitration award may be enforced in any court with appropriate jurisdiction. The costs associated with arbitration will be shared equally between you and us, while each party will be responsible for its own legal fees and preparation costs. The arbitration will be conducted in English.
Governing law and forum for disputes
Unless otherwise mutually agreed upon by the parties or as outlined in the arbitration section mentioned earlier, you consent to resolve any claims or disputes you may have against www.promodrive.in in a court located within our district in India. This agreement will be governed by Indian law, disregarding any conflict of law principles
Severability
Should any clause of this agreement be deemed unlawful, void, invalid, or otherwise unenforceable, that specific clause will be restricted or removed to the least extent necessary, while the remaining clauses will continue to be valid and enforceable.
Assignments
You may not transfer or assign this agreement or any rights granted herein without our prior written consent, which we may withhold at our sole discretion. However, we reserve the right to assign this agreement without any restrictions. Any assignment made in violation of this provision will be considered null and void. Regarding the refund policy for B2B customers, the balance will be retained and will not be refunded under any circumstances.
Changes to the terms and conditions
The website reserves the right to modify its terms and conditions at any time, at its discretion. Any changes made to these terms will be communicated to you through an announcement posted on the site, ensuring you are informed of any updates. These modifications will take effect 24 hours after the announcement is made and will apply immediately to any payment transactions initiated after that date.
